These Terms of Service ("Terms") govern access to and use of Sequence, including its web app, browser extension, integrations, and related services (the "Service"). The Service is operated by Halcyon Agency Pty Ltd (ABN 53 675 138 708, "Halcyon", "we", "us"). By creating an account, accepting an invitation, or using the Service, you agree to these Terms.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter into these Terms. If you use Sequence for an organization, you confirm that you have authority to bind that organization. You must provide accurate account and billing information and keep it current.
2. Accounts and workspace administration
You are responsible for your credentials and activity under your account. Tell us promptly at hello@sequencesocial.com if you suspect unauthorized access. Workspace owners and admins control membership, roles, connected accounts, and access to workspace content. They are responsible for granting access only to authorized people.
When you create an account we may email you product news and updates about Sequence. You can unsubscribe from those emails at any time using the link in each message. Account, security, and billing emails are part of the Service and are sent regardless.
3. Plans and billing
- Available features, usage allowances, and prices depend on your plan and selected quantity.
- The Free Forever plan does not require a card and does not automatically become a paid subscription.
- You authorize us and Stripe, our payment processor, to charge the payment method provided for subscriptions, add-ons, usage purchases, applicable taxes, and approved changes.
- Prices are displayed and charged in the currency shown at checkout. Your card issuer may apply exchange rates or foreign transaction fees when that currency differs from your account currency.
- Applicable GST, VAT, sales tax, or similar tax may be added or included as shown at checkout. You are responsible for taxes that we are legally required to collect from you.
- You can cancel a subscription through billing settings. Cancellation takes effect at the end of the paid period unless law requires otherwise.
Fees already paid are non-refundable except where these Terms, a written offer, or applicable consumer law requires a refund. Nothing in these Terms limits cooling-off, refund, or consumer guarantee rights that cannot lawfully be excluded.
4. Your content
You retain ownership of content and data you submit to Sequence. You grant us a worldwide, non-exclusive, limited license to host, copy, transmit, modify for technical formatting, publish, and analyze that content only as needed to operate, secure, support, and improve the Service. You confirm that you have the rights and permissions needed for all content and personal information you submit or publish.
5. Connected services
Sequence can connect to social networks and other third-party services. By connecting one, you authorize Sequence and its service providers to access, process, publish, and retrieve data within the permissions you approve. Your use remains subject to each third party's terms and policies. You are responsible for selecting the right account, reviewing content before publication, and maintaining required permissions.
Third parties may change APIs, reject or remove content, impose rate limits, suspend accounts, or experience outages. We are not responsible for those third-party decisions or interruptions, but we will take reasonable steps to present failures and recovery options accurately.
6. AI features
Optional AI features may send your prompts, selected workspace context, uploaded content, and relevant instructions to third-party AI providers. AI output can be incomplete, inaccurate, or unsuitable. You must review output before using or publishing it and must not rely on it for legal, financial, medical, or other high-stakes advice. AI availability may differ by country due to provider restrictions.
7. Acceptable use
You must not use the Service to:
- break the law, sanctions, export controls, or another person's rights;
- publish unlawful, deceptive, defamatory, harassing, discriminatory, exploitative, or infringing material;
- send spam, coordinate inauthentic activity, or evade platform rules, usage limits, or safety controls;
- access data or accounts without authorization, share credentials improperly, or defeat workspace permissions;
- probe, scan, reverse engineer, disrupt, overload, or introduce malicious code into the Service; or
- resell or provide the Service to third parties unless a written agreement permits it.
8. Geographic availability and compliance
Sequence is not offered everywhere. Self-serve signup, billing, integrations, or AI features may be limited or unavailable where required by law, payment or infrastructure provider rules, sanctions, export controls, or technical conditions. You must not misrepresent your location or use the Service for or on behalf of a prohibited person, entity, or territory. Existing or invited users who encounter a location decision in error should contact us.
9. Confidentiality
Each party must protect the other's non-public business, technical, and customer information using reasonable care and use it only for the Service. This does not cover information that is public without breach, independently developed, lawfully received from another source, or required to be disclosed by law.
10. Privacy
Our Privacy Policy explains how we handle personal information, use service providers, and transfer data internationally. If you submit personal information about other people, you are responsible for providing required notices and obtaining a lawful basis to do so.
11. Intellectual property
Halcyon and its licensors own the Service, software, design, documentation, trademarks, and all related intellectual property other than your content. These Terms give you a limited, revocable, non-transferable right to use the Service during your account term. Feedback may be used without restriction or payment, provided we do not identify you publicly without permission.
12. Suspension and termination
You may stop using Sequence at any time and workspace owners may remove members. We may suspend or terminate access where reasonably necessary to address non-payment, security risk, unlawful conduct, a material breach, provider restrictions, or harm to the Service or others. Where practical, we will provide notice and a chance to remedy.
On termination, your right to use the Service ends. Data is retained or deleted as described in the Privacy Policy, subject to legal obligations and reasonable backup cycles. Provisions that by their nature should survive, including payment obligations, confidentiality, intellectual property, disclaimers, and liability limits, continue.
13. Service changes and availability
We may modify features and plan limits as the Service evolves. We will not materially reduce a paid plan during its current billing period without reasonable notice or an appropriate remedy. The Service may be interrupted by maintenance, network conditions, regional latency, or third-party failures. We do not promise uninterrupted or error-free operation.
14. Consumer rights and warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded.
15. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential loss, or for lost profits, revenue, goodwill, or anticipated savings. Our total aggregate liability arising from the Service is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited, including liability for fraud or deliberate misconduct.
16. Indemnity
To the extent permitted by law, you will indemnify Halcyon against third-party claims and reasonable costs arising from your content, your unlawful use of the Service, or your material breach of these Terms. This does not apply to the extent a claim was caused by our breach or negligence.
17. Changes to these Terms
We may update these Terms. We will provide reasonable notice of material changes, such as by email or an in-product notice. Changes apply prospectively from the stated effective date. If you do not agree, you may stop using the Service and cancel a paid subscription before the change takes effect.
18. General
These Terms and any applicable order or written service agreement form the agreement between you and us for Sequence. If a written order conflicts with these Terms, the order controls for that subject. You may not assign these Terms without our consent; we may assign them as part of a corporate reorganization or sale of the Service. If one provision is unenforceable, the rest remain effective. A delay in enforcement is not a waiver.
19. Governing law and contact
These Terms are governed by the laws of New South Wales, Australia. Courts in New South Wales have non-exclusive jurisdiction, subject to any mandatory consumer rights in your place of residence.
